PROCESSO SEA/F2I/SREI: CONFERENZA STAMPA DI GAMBERALE/MAIA E LORO LEGALI

• E’ intenzione di entrambi, Gamberale e Maia, indagati per la vicenda in oggetto, rompere il rispettoso e doveroso silenzio finora osservato, vista la decisione assunta al termine delle indagini preliminari da parte della Procura;
Certamente, come indagati, non intendiamo sottrarci alla sede propria del confronto e del giudizio;
Intendiamo solo anticipare la divulgazione e la completa lettura (non solo per frasi smozzicate e comunque estrapolate) delle prove agli atti che dimostrano l’assoluta infondatezza delle accuse mosseci;
La necessità della divulgazione è suggerita dalla esigenza e responsabilità di tutelare, prima di tutto, il Fondo F2i e i relativi Investitori Istituzionali, nonché ribadire la correttezza del modo con cui F2i opera sul mercato;
Si vuole anche tutelare l’onorabilità e la reputazione degli amministratori tutti (CdA compreso, per quanto dirò tra poco) e dell’intera struttura;
Si sente perciò il dovere di dare un contributo concreto alla diffusione conoscitiva di tutta la vicenda, che appare inconsistente come materialità;
Finora, abbiamo assistito, in silenzio, al dibattito apertosi in Procura, e che ha visto e vede questo fascicolo come un oggetto fondamentale della contesa. Anche tutti i giornali di oggi lo sottolineano;
In questa situazione, che non ci appartiene, non possiamo sentirci strumenti di un confronto istituzionale, obiettivamente in essere, che ci interessa come cittadini, ma non può assolutamente penalizzarci come indagati;
L’inchiesta nasce sulla base di una telefonata, tra il serio ed il faceto, tra me e Maia, avvenuta il 14 luglio del 2011 (non vorrei che l’anniversario della rivoluzione francese ci giochi un tardo-giacobinismo di ritorno);
In quella telefonata qualcuno vede elementi per ipotizzare una gara “combinata” ed a misura di F2i, da parte del Comune;
Questa ipotesi è tuttora presente mediaticamente e anche nella contrapposizione politica locale;
In precedenza F2i aveva inviato, al Comune, una Offerta non Vincolante, il 28 ottobre 2011;
Il Comune pubblicò il bando di gara il successivo 17 novembre 2011, ponendo come termine per la presentazione delle offerte il 16 dicembre 2011, alle 10:00;
La Procura ha potuto, comunque, ricostruire tutte le tappe del processo di gara che hanno preceduto la data di pubblicazione del bando. E tale ricostruzione è stata effettivamente effettuata;
L’indagine ha infatti consentito di chiarire fin da subito, entro il novembre del 2012, che la gara indetta dal Comune si era svolta nel più rispettoso ruolo delle parti, in totale trasparenza e correttezza. A tale ricostruzione è stato dato un contributo non solo da noi due, ma dagli stessi funzionari e consulenti del Comune;
Quindi, nessuna interferenza tra F2i e Comune, e nessuna commistione, a proposito del bando di gara;
Il bando di gara è stato trasparente ed indipendente. Non è stato su misura;
Ribadisco ciò che dissi subito e che parve sfrontato due anni orsono: su misura mi faccio solo gli abiti (1 ogni 2 anni)!;
Risulta pertanto incomprensibile capire perché, ancora nei giorni scorsi, venivano riportati brani di quella telefonata, tenendo così in piedi una ipotesi del tutto insussistente, secondo la stessa Procura, e questo dopo oltre 2 anni di inchiesta;
Tutti i testi sentiti al riguardo hanno confermato il contenuto della memoria anticipata da me al Procuratore il 4 aprile, prima ancora che l’inchiesta prendesse il via reale;
Quindi il faro accesosi sulla presunta “combine” tra Comune ed F2i si spegne;
Ma se ne accende un altro, sul ruolo e sul comportamento tenuto, il giorno della gara, dall’indiano Vinod Sahai, accreditatosi come rappresentante della indiana SREI;
Comportamento sottolineato, nella mia stessa memoria del 4 aprile 2012, come caotico tentativo di turbativa d’asta;
E ricordo, anzi, che fu proprio F2i a convenire, col Comune, nei giorni successivi, la opportunità di aprire quella busta, per vedere cosa conteneva e per porre fine alle strumentalizzazioni in corso. E venne fuori che era un’offerta farlocca;
Ora quel comportamento irrituale, me lo trovo ritorto come accusa contro di me e del mio collega!;
Sahai Vinod è una persona che non ho mai incontrato, con cui non ho mai avuto rapporti né diretti, né indiretti;
Ne parlerà Maia, per quei pochi dettagli che potrà raccontare, circoscritti nel suo unico incontro di pochi minuti;
Fatto sta, che sulla base di questo comportamento strano dell’indiano, e della sua offerta farlocca e fuori tempo, viene dedotto che l’offerta di F2i, in fase di gara, sia stata calibrata al minimo rialzo;
E’ questo un aspetto che merita una rigorosa documentazione;
F2i, in fase di offerta non vincolante, avanzata il 28 ottobre 2011, e relativa al solo 20% allora ipotizzabile in vendita, aveva valutato il 100% di SEA pari ad 825 Mil€. Il Comune, nel bando di gara, pubblicato il 17 novembre, aveva valutato il 100 % di SEA pari a 975 Mil se riferito alla quota del 20%; pari a 1.143 Mil se riferito alla quota del 30% circa. Quindi con rialzi, rispetto alla offerta di F2i, del 18% o del 39%;
E siccome F2i optò per offrire solo per la quota del 30%, si partiva da una divaricazione di prezzi base del 39%. Non poco, per essere certi di una futura redditività adeguata all’investimento;
Poi, queste basi di valore, come offerta preliminare e come base d’asta, subivano incrementi per la maturazione di eventuali effetti positivi. In tal caso la divaricazione arrivava ad un + 10%;
Quindi il Comune aveva fissato una base d’asta molto più elevata dell’offerta non vincolante presentata da F2i: da un + 10% ad un + 39%;
In tale situazione, il conseguente rischio, per F2i, veniva a posizionarsi in una banda di criticità, che richiedeva una profonda riflessione;
Tant’è che il CdA di F2i, tenutosi il 14 dicembre del 2014, vide un acceso dibattito, con la partecipazione di molti consiglieri;
Si confrontavano l’opinione di non partecipare alla gara, con conseguente possibile fallimento del Comune oppure, con grande senso di responsabilità, presentare un’offerta allineata alla base d’asta fissata dal Comune,;
Il verbale di quel CdA è agli atti. Possibile che non sia mai stato letto da nessuno?;
Fu quel CdA che, alla fine, decise per la partecipazione, fissando il prezzo a solo 1 € in più. Voleva essere un segnale di responsabilità verso la più importante municipalità d’Italia, ma anche un chiaro segnale che F2i vedeva stressati i propri rendimenti attesi;
Fu l’intero CdA a prendere tale decisione;
Per questo all’inizio ho detto che devo tutelare gli amministratori tutti, CdA compreso;
Questo aspetto è totalmente chiaro e lampante. Non può essere banalizzato al solo euro in più!;
Si trattò di un rincaro dal 10 al 39% rispetto a quanto F2i riteneva di offrire. Non poco;
Così abbiamo documentalmente smarcato sia la telefonata, sia l’euro in più;
Passo la parola a Maia, perché chiarisca i rapporti con il sig. Vinod Sahai, da me mai incontrato;

Verbale di Sahai del 20 luglio 2012: A.D.R. “Non ho mai conosciuto Vito Gamberale, né tanto meno ho avuto modo di parlare con lo stesso.” Lo dice per ben 2 volte;
Tutti i testi presenti all’incontro – del 12 dicembre, presso F2i – del Sahai con Maia, e cioè altri 2 dirigenti di F2i, oltre a 2 alti dirigenti di Unicredit, hanno escluso la mia presenza;
Eppure mi trovo indagato perché “in concorso e previo accordo, colludeva con Sahai perché si astenesse dal concorrere alla gara indetta dal Comune di MI”;
Non trovo alcun frammento di prova, di documento, di ipotizzabilità per accettare questa accusa!;
Tra l’altro, come è possibile?: il bando prevedeva raggruppamenti, quindi la possibilità di confrontarsi con i vari potenziali interessati; Maia, nella sua autonomia, lo ha fatto; e quell’ipotetico interessato – la CDC francese – è stata riportata nel verbale del CdA, in quanto qualsiasi accordo previo o successivo, avrebbe dovuto essere riportato al CdA, come è stato per CDC; il bando vincolava eventuali cessioni successive al benestare del Comune; come avrebbe potuto F2i promettere qualcosa che notoriamente dipendeva dal Comune?; e che bisogno c’era di fare quella sceneggiata se ci fosse stato un accordo?;
E poi non ci sono tracce di telefonate, di mail, di contatti, né diretti né indiretti, né prima, né dopo, né mai;
Insomma le conclusioni paiono più e solo congetture, che prove di processo!.

SEA/F2i/SREI Trial


Press conference with Gamberale/Maia and their lawyers

·         Gamberale and Maia have both been investigated for the SEA/F2i/SREI trial and have now decided to put an end to their dutiful and respective silence, in view of the decision made by the prosecutor at the end of the preliminary investigations;
·         Certainly, as suspects under investigation, it is not our intention to escape from our responsibility with respect to a proper confrontation and trial;
·         Our aim is to anticipate the disclosure and full reading (and therefore not just a couple of incomplete sentences out of context) of the evidence on record that demonstrates how absolutely unfounded the accusations are;
·         Such necessary disclosure originates from our responsibility to protect the F2i Fund and its institutional investors, for instance, and to put in evidence the fairness of F2i's actions on the market;
·         Our objective is also to protect the honourableness and reputation of all directors (including the board of directors, as I will explain shortly after) and of the entire institution;
·         We therefore feel it is our duty to strongly contribute to spreading the overall knowledge of this matter, which appears to be materially inconsistent;
·         Until now we have silently witnessed the debate among the prosecutors concerning the current case. Every newspaper today has talked about this issue too;
·         In such a situation, which is kept away from us, we cannot consider ourselves tools of a currently ongoing institutional confrontation that affects us as citizens but cannot penalise us as suspects;
·         The investigation is based on a semi-serious phone call between Maia and myself, which took place on July 14th 2011 (I hope that the fact that it happened on Bastille Day won't imply a form of late Jacobinism);
·         In that phone call someone had caught elements that allegedly indicate an "arranged" tender in favour of F2i by the municipality;
·         Such hypothesis is still present in the media and in the local political opposition;
·         On October 28th 2011 F2i had previously sent a non-binding offer to the municipality;
·         The municipality disclosed the call for tenders on the following November 17th 2011, with a deadline for submitting offers on December 16th 2011 at 10.00 am;
·         The prosecutors could reconstruct every step of the tender process before the disclosure date of the call for tenders. And such reconstruction was actually performed;
·         From the beginning, the investigation has in fact allowed to clarify by November 2012 that the tender organised by the municipality developed while respecting everyone's role, in conditions of total transparency and correctness. We contributed to the reconstruction, as did the municipality’s officials and consultants;
·         Therefore, there was no interference between F2i and the municipality and no mingling regarding the tender;
·         The tender was transparent and independent. It was not tailored according to the needs of any individual;
·         I want to stress out what I had said at the start of this enterprise two years ago: I only have my suits tailored (once every 2 years!);
·         It is therefore impossible to understand why parts of that call were still reported in the past few days, thus corroborating a completely unfounded hypothesis, also according to the prosecutors, that continues after two years of investigation;
·         All the witnesses heard on this matter have confirmed the content of the memo that I anticipated to the prosecutor on April 4th, even before the investigation actually started;
·         The spotlight on the alleged "collusion" between the municipality and F2i was therefore turned off;
·         However, there’s a new focus on the role and behaviour of Vinod Sahai for the tender day, who accredited himself as the SREI representative from India;
·         As I emphasised in my memo of April 4th 2012, that behaviour appeared as a chaotic attempt to disturb the tender;
·         I also recollect that it was F2i that convened with the municipality over the next couple of days about the possibility to open the envelope to check its content and stop the ongoing instrumentalisations. As It turned out, it was a phony offer;
·         That irregular behaviour then turned into an accusation against me and my colleague!
·         I never met Sahai Vinod before and I have never had a direct, nor an indirect relationship with him;
·         Maia will talk about this, as far as the very few details, limited to their single brief encounter, can allow him;
·         Based on Vinod's unusual behaviour, as well as his phony and belated offer, it is now assumed that F2i's tender bid was arranged at the minimum upside difference;
·         This aspect needs thorough documentation;
·         In its non-binding offer of October 28th 2011, related to only 20% of the foreseable sale, F2i estimated SEA's 100% value at 825 billion Euros. In the tender call published on November 17th, the municipality estimated SEA's 100% value at 975 billion Euros – referring to a 20% share, and 1,143 billion Euros – referring to an approximate share of 30%. Therefore 18% or 39% higher than F2i's offer;
·         As F2i chose to only bid for the 30% share, the initial price difference was 39%, which is considerable, if we want to be certain of a future income adequate to the investment;
·         Moreover, this initial value of the preliminary offer and starting price would increase because of an accrual of possible positive effects. In such case, the difference would increase by +10%;
·         The municipality had therefore decided a much higher starting price than F2i's non-binding offer: +39% compared to +10%;
·         In such situation, the resulting risk for F2i was critical, and a thorough evaluation was necessary;
·         During the F2i Board of Directors Meeting on December 14th 2011 an animated discussion took place among board members;
·         The possibility to not participate in the tender and the resulting failure of the municipality was contemplated, as well as the responsible option to present an offer that would match the starting price decided by the municipality;
·         The minutes of the meeting are archived. Why didn’t anyone ever look at them?
·         Following that meeting, the Board of Directors agreed to participate with a price that would be 1 Euro higher than the tender starting price. That was meant as a demonstration of responsibility towards the most important municipality in Italy, as well as a clear indication that F2i considered its expected returns to be uncertain;
·         The whole board agreed to this decision;
·         This is why I previously said that I had to protect all directors, including the board;
·         This aspect is clear and evident. It cannot be reduced to the one additional Euro!
·         This was an increase from 10% to 39% compared to what F2i wanted to offer; a considerable amount;
·         We now have clarified both the phone call and the additional Euro with documented facts;
·         I will now leave the stage to Maia, so that he can explain his relationship with Mr. Vinod Sahai, whom I have never met;
·         ………
·         F2i organisational chart;
·         Sahai report, on July 20th 2012; ADR "I have never met Vito Gamberale, nor have I ever talked to him," ─ This was stated twice;
·         All the witnesses that were present during the December 12th meeting at F2i between Sahai and Maia, with two other F2i managers and two other Unicredit managers, ruled out my presence there;
·         Nonetheless I am now investigated for "agreeing and colluding with Sahai to make him withdraw from competing in the Milan Municipality tender";
·         I don't see any evidence, document or feasibility of this accusation!
·         How is it then possible? The tender allowed for grouping, therefore for the possibility to confront the various potentially interested parties. Maia legitimately did so, and the hypothetically interested party – the French CDC – was reported in the minutes of the Board of Directors' meeting. Any precedent or following agreement would have had to be reported to the Board, as it happened for CDC; the future sales options of the tender were subject to the municipality’s approval; how could F2i promise something that openly depended on the municipality? And why would we have acted that way if an agreement was in place?
·         Moreover, there is no evidence of calls, e-mails, direct or indirect contact, not before, nor ever after;

The conclusions therefore appear closer to speculations than trial evidence.
